End-User License Agreement
This End-User License Agreement ("Agreement") is a legal agreement between you (either an individual or the business you represent, "you") and Hire-Step Solution ("Hire-Step," "we," "us," or "our") for the use of Hire-Step software applications, including applications and integrations that connect to Intuit QuickBooks Online, together with related dashboards, reports and documentation (the "App").
By connecting, installing, accessing or using the App, you agree to this Agreement. If you are accepting on behalf of a company, you confirm that you have authority to bind that company. If you do not agree, do not use the App.
1. License
Subject to this Agreement and any service agreement or statement of work between you and Hire-Step (a "Service Agreement"), we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the App for your internal business purposes during the term of your subscription or engagement.
2. Restrictions
You will not, and will not allow anyone else to:
- copy, modify, translate or create derivative works of the App;
- reverse engineer, decompile or attempt to discover its source code, except where the law expressly allows it;
- sell, rent, lease, sublicense or provide the App to third parties as a service;
- bypass security, access controls or usage limits, or access data you are not authorized to access;
- use the App to break the law, infringe others' rights, or send spam or malicious code; or
- use the App in a way that violates Intuit's terms for QuickBooks Online.
3. Your QuickBooks connection and your data
- Authorization. You confirm that you are authorized to connect the QuickBooks Online company you choose and to allow the App to access its data.
- Ownership. You keep all rights to your data. You give Hire-Step permission to access, process, store and display your data only to provide the App and the services you request, as described in our Privacy Policy.
- Changes the App makes. Where a feature writes information back to QuickBooks (for example, creating invoices or entries), it does so at your direction. You are responsible for reviewing those entries.
- Disconnecting. You can disconnect the App from QuickBooks at any time. Data handling after disconnection is described in the Privacy Policy.
4. Intuit and other third-party services
The App works with third-party services such as QuickBooks Online. Intuit is not a party to this Agreement and is not responsible for the App or our support. Your use of QuickBooks Online is governed by your agreement with Intuit. We are not responsible for third-party services, their availability or changes they make that affect the App. QuickBooks and Intuit are trademarks of Intuit Inc.; Hire-Step is not affiliated with or endorsed by Intuit.
5. Not professional advice
Reports, dashboards and forecasts produced by the App are tools to support your decisions. They depend on the accuracy of the data in your systems. Unless a Service Agreement says otherwise, the App does not provide tax, legal or audit advice, and you are responsible for reviewing results before relying on them, filing returns or submitting pay requests.
6. Fees
Fees, if any, for the App are set out in your Service Agreement. If there is no Service Agreement, the App is provided at no charge until we tell you otherwise.
7. Updates and support
We may update, improve or change the App, including to keep it secure and compatible with QuickBooks. Support is provided as described in your Service Agreement or, if none, on a reasonable-efforts basis by contacting dora@hire-step.com.
8. Intellectual property
The App, including its software, design, documentation and all related intellectual property, belongs to Hire-Step and its licensors and is protected by law. This Agreement does not transfer ownership to you. If you send us feedback, we may use it without obligation to you.
9. Term and termination
This Agreement remains in effect while you use the App. You may stop using it and disconnect it at any time. We may suspend or terminate your access if you breach this Agreement, if your Service Agreement ends, or if required by law or by Intuit. When this Agreement ends, your license ends and you must stop using the App. Sections 3, 4, 5, 8, 10, 11, 12 and 13 survive termination.
10. Disclaimer of warranties
EXCEPT AS EXPRESSLY STATED IN A SERVICE AGREEMENT, THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, HIRE-STEP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED OR ERROR-FREE.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, HIRE-STEP WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE OR DATA, ARISING FROM OR RELATED TO THE APP. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE APP WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID HIRE-STEP FOR THE APP IN THE 12 MONTHS BEFORE THE CLAIM AND (B) ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow these limits, so they may not apply to you.
12. Indemnification
You agree to defend and indemnify Hire-Step against third-party claims arising from your misuse of the App, your violation of this Agreement, or data you connect without authorization.
13. Governing law
This Agreement is governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Virginia, and both parties consent to that jurisdiction. If a Service Agreement contains different terms, the Service Agreement controls.
14. Changes to this Agreement
We may update this Agreement. We will post the updated version on this page with a new effective date. If you keep using the App after changes take effect, you accept the updated Agreement.
